IP due diligence, as an important part of overall mergers and acquisitions (M&A) due diligence, is the process of gathering information and analyzing the value of and risks associated with IP and IT assets. A comprehensive IP due diligence review is particularly important in M&A transactions since IP has been and is increasingly becoming an important component of a seller’s business and a buyer’s acquisition model. The consequences of mismanaging IP due diligence can be severe.
